Anthropic Files IPO With Dual-Class Shares

Anthropic filed its S-1 IPO on Monday, creating five stock classes. Class F, held by an LLC of seven co-founders, carries 50.1% of the vote with no economic rights. Class A, sold to the public, holds 49.9% of the vote. The structure allows founders to retain control while giving away 80% of equity.
